Meta to Issue Non-Voting Class C Shares, One Class C Share for Each Share Held
October 22 — According to Meta's official announcement, Meta's board of directors has approved the creation of publicly listed non-voting Class C common stock. The related charter amendment has received written consent from shareholders and will take effect on January 19, 2027. Meta will distribute one Class C share for each Class A and Class B share held as a one-time stock dividend. The record date and distribution date are to be determined by the board, and the Class A share price is expected to reflect a two-for-one split effect after the distribution. Earlier media reports, including CoinDesk, said the arrangement is intended to fund AI expansion without weakening Zuckerberg's control over the company.
Meta has also signed a founder alignment agreement with CEO Zuckerberg covering matters such as his sale of the Class C shares received, his tenure, and future Class C dividends.
